Route Commander Terms of Service

1. Overview

These Terms of Service ("Terms") govern your access to and use of the Route Commander website, mobile application, and any related tools, features, content, or services (collectively, the "Services"). Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Services.

Route Commander ("Route Commander," "we," "us," or "our") provides route mapping and permit-based navigation solutions designed to help users plan and manage trips that may be subject to regulatory, permit, or roadway restrictions. You are responsible for ensuring that all routes and navigation decisions comply with applicable laws, regulations, and permit requirements.

2. Key Terms

For purposes of these Terms:

  • "Account" means the registered profile you create to access certain features of the Services.
  • "User," "you," or "your" means the individual or entity accessing or using the Services.
  • "Content" means text, data, graphics, maps, routes, permit-related information, or other materials made available through the Services, including any content submitted or provided by you.

3. Services

Route Commander offers tools to assist with route planning, mapping, and navigation that may incorporate permit-related constraints, roadway rules, and other operational parameters. The Services are provided for informational and operational support purposes only and do not constitute legal, regulatory, or safety advice.

While we strive for accuracy and reliability, the Services may not always reflect real-time conditions, regulatory changes, road closures, traffic incidents, or permit updates. You are solely responsible for validating all routes, permits, and restrictions with the appropriate authorities and for complying with all applicable laws and regulations.

4. Use of the Services

Subject to your compliance with these Terms, Route Commander grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business or personal operational purposes.

You agree not to:

  • Use the Services for any unlawful, fraudulent, or malicious purpose.
  • Circumvent, disable, or interfere with security-related features of the Services.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying components of the Services, except to the extent such restrictions are prohibited by law.
  • Use any automated means (including bots, crawlers, or scrapers) to access, monitor, or copy any part of the Services, except as expressly permitted in writing by Route Commander.

5. Product Requirements

To use certain features of the Services, including real-time routing and navigation, you may need compatible hardware, software, and internet access. You are responsible for obtaining and maintaining all equipment, connectivity, and third-party services necessary to use the Services, and for all associated fees and charges.

6. Orders and Payments

If you purchase access to paid features or subscription plans, you agree to provide current, complete, and accurate billing and account information for all purchases made through the Services. You authorize Route Commander or our third-party payment processors to charge your chosen payment method for all fees incurred.

All fees are stated and payable in the currency specified at the time of purchase and are non-refundable except as expressly provided in these Terms or as required by applicable law.

7. Subscription Plans

We may offer various subscription tiers with different usage limits, features, or service levels. Details of each subscription plan, including pricing, included features, and term length, will be presented at the time of sign-up or upgrade.

By subscribing to a plan, you agree to pay all applicable subscription fees on a recurring basis until you cancel your subscription in accordance with these Terms.

8. Billing and Renewal

Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle at the then-current rate for your plan. You may cancel your subscription before the renewal date through your account settings or by contacting us as described below. Cancellations will take effect at the end of the current billing period, and you will continue to have access to the Services until that time.

9. Free Trial

We may, at our sole discretion, offer free trial periods for certain plans or features. If you sign up for a free trial, you will be informed of the trial duration and any applicable conditions at the time of registration. At the end of the trial, your access may automatically convert to a paid subscription and your payment method may be charged, unless you cancel before the trial ends as described in the offer terms.

10. Price Changes

Route Commander may modify the fees for the Services, including subscription prices, at any time. We will provide you with advance notice of any material price changes in accordance with applicable law. Any price changes will take effect at the start of the next billing cycle following the date of the notice. Your continued use of the Services after the price change becomes effective constitutes your acceptance of the updated pricing.

11. Upgrades and Downgrades

You may upgrade or downgrade your subscription plan where such options are made available. Upgrades may take effect immediately and may result in a prorated charge for the remainder of the current billing cycle. Downgrades may take effect at the end of your current billing period, and you may lose access to certain features or capacity when the downgrade becomes effective.

12. Account Registration and Security

To access certain features of the Services, you may be required to create an Account and provide registration information. You agree to provide accurate, current, and complete information and to keep your Account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to notify us promptly of any unauthorized access to or use of your Account or any other breach of security.

13. Acceptable Use Policy

You agree to use the Services in a manner that is lawful, ethical, and respectful of others. You must not use the Services to:

  • Infringe or violate the rights of any third party, including intellectual property, privacy, or proprietary rights.
  • Upload, transmit, or distribute any viruses, malware, or other harmful code.
  • Interfere with or disrupt the integrity or performance of the Services or any related systems.
  • Collect or harvest personal information of others without their consent or in violation of applicable law.

14. Intellectual Property and Ownership

The Services, including all software, user interfaces, maps, route logic, designs, text, graphics, logos, and other materials, are owned by or licensed to Route Commander and are protected by copyright, trademark, and other intellectual property laws. Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell, or lease any part of the Services or included content.

You retain all rights in and to any content or data that you submit to the Services, subject to the license you grant to us to operate, maintain, and improve the Services.

15. Third-Party Services and Linked Websites

The Services may integrate with or provide links to third-party tools, data sources, applications, or websites that are not owned or controlled by Route Commander. We provide these integrations and links for convenience only and do not endorse or assume any responsibility for the content, products, or services of third parties.

Your use of any third-party services is subject to the terms and policies of those third parties, and you are responsible for reviewing and complying with such terms.

16. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, Route Commander disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Services will be accurate, reliable, error-free, uninterrupted, secure, or free of harmful components, or that any defects will be corrected. You acknowledge that routing, mapping, and permit-related information may be incomplete, outdated, or subject to change, and you agree to independently verify any critical information.

17. Limitation of Liability

To the maximum extent permitted by law, Route Commander and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use the Services, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claims arising out of or relating to the Services or these Terms will be limited to the amount you paid, if any, for access to the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

18. Indemnification

You agree to indemnify, defend, and hold harmless Route Commander and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of a third party or any applicable law or regulation.

19. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws applicable in your primary place of business or residence, without regard to its conflict of law principles, unless a different jurisdiction is required by applicable law.

Any legal action or proceeding arising under these Terms will be brought exclusively in the competent courts located in the jurisdiction specified above, and you and Route Commander consent to the personal jurisdiction and venue of such courts.

20. Term and Termination

These Terms remain in effect while you access or use the Services. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Services. You may stop using the Services at any time.

Upon termination, your right to access and use the Services will immediately cease. Any provisions that by their nature should survive termination will continue in full force and effect, including ownership provisions, warranty disclaimers, limitations of liability, and indemnity obligations.

21. Changes to the Services and These Terms

We may update or modify the Services from time to time, including by adding or removing features or functionality. We may also update these Terms to reflect changes to the Services, legal requirements, or our business practices. When we make material changes to these Terms, we will provide notice in accordance with applicable law, which may include updating the "Last updated" date at the top of this page or providing additional notice through the Services.

Your continued use of the Services following any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Services.

22. Miscellaneous

These Terms, together with any other agreements or policies referenced herein (including our Privacy Policy), constitute the entire agreement between you and Route Commander regarding the Services and supersede all prior or contemporaneous understandings or agreements, whether written or oral, regarding the subject matter hereof.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
